Clear terms, before the first invoice.

How we sell services, invoice and get paid: what you buy, who owns the code, which currency and account, VAT and withholding tax, and how to stop a recurring service. Written for the accountant who receives our invoice.
Scope
These terms apply to every offer, order and invoice of Zoxron LLC for software development services, technical support and maintenance of software, training and the paid layers of Zoxron MCP. They complement the Terms of use, which cover the free layers of Zoxron MCP.
We work with businesses only. By ordering you confirm that you act in the course of your business and not as a consumer. An individual quote or written agreement takes precedence over these terms where the two differ.
How an order is made
A contract is made when you accept our quote in writing (email is enough) or place an order for a paid plan. The quote or order states the scope, the price, the currency and the period. Work outside that scope is quoted separately before it starts.
Services and rights to the code
We perform the services remotely. Work at your premises happens only when agreed in writing for a specific engagement.
Software we write for you is a service, not a transfer of rights. The copyright in the code stays with Zoxron LLC. You receive a perpetual, non-exclusive right to use the delivered software for the internal purposes of your business, including changing it for your own use. Reselling, sublicensing or distributing it to third parties requires our written consent.
A transfer of copyright is possible only under a separate written agreement with its own price. Open-source components (for example Odoo Community, LGPL) remain under their own licences.
Prices, currencies and VAT
Prices are net. We invoice in US dollars, euros or Polish złoty, as stated in the quote or order. Zoxron LLC is established outside the European Union: for business customers in the EU, Poland included, the reverse charge applies and you account for VAT yourself. Please give us a valid VAT number. Outside the EU no VAT is added.
Invoices and payment
Recurring services are invoiced at the start of each period, other work after delivery or per agreed milestone. Invoices are sent by email as PDF. The payment term is printed on each invoice; unless agreed otherwise it is 7 days from the invoice date.
Pay by bank transfer in the invoice currency, with the invoice number as the reference. Each party bears its own bank charges; for international (SWIFT) transfers please choose the option in which you pay your bank’s charges, so that the full amount arrives. A shortfall caused by bank charges is added to the next invoice.
Our bank details
Pay only to the account printed on the invoice. Our accounts are held with Mercury (US dollars), Wise and Revolut (euros and złoty), all in the name of Zoxron LLC. We never change bank details by email: if you receive a message asking you to pay to a different account, do not pay and confirm it with us first through a channel you already know.
Withholding tax
Our prices do not include any tax withheld at source. If you believe a payment to us is subject to withholding tax in your country, tell us before you pay. On request we provide, before the first payment, the documents your accountant needs: a certificate of tax residence of the owner, a statement on the tax transparency of Zoxron LLC and an extract from the Wyoming business register.
Recurring services and cancellation
Recurring services (support, maintenance, paid plans) run month by month. You can cancel at any time by email; the cancellation takes effect at the end of the paid month and we do not charge for later months. There is no annual commitment unless you ask for one in writing.
Late payment
If an invoice is overdue, we send a reminder. If it remains unpaid 7 days after the reminder, we may pause recurring services until it is paid. We may charge interest on overdue amounts at 1% per month, or at the lower maximum rate allowed by the law that applies to you.
Defects and liability
Please report a defect in delivered work within 14 days of delivery. We fix it within a reasonable time at no extra charge; if we cannot, we credit the price of the defective part. To the fullest extent allowed by law, our total liability is limited to the amount you paid us in the twelve months before the claim, and we are not liable for indirect losses such as lost profit or lost data. This does not limit liability that cannot be limited by law, such as for intent.
Confidentiality and your data
We keep your business information confidential and use access to your systems only for the agreed work. The paid layers of Zoxron MCP run on your own machine, so the content of your files does not reach our servers. If the work requires us to process personal data on your behalf, we sign a data processing agreement first.
Governing law, changes and contact
These terms and every contract under them are governed by the laws of the State of Wyoming, USA, without prejudice to mandatory rules of the law that applies to you. We may update these terms; the date at the top shows the current version, and an order is governed by the version in force on the day it was placed. Questions about an offer, an invoice or a payment?
